Stoily Account Terms

For sellers who use a Stoily account to sell on a marketplace run by a Stoily customer.

We may revise this document with notice. Revisions are published on this page, and every substantive revision gets a new version number and effective date.

These Stoily Account Terms are between you and StoreOnCloud LLC ("Stoily", "we", "us"). They apply when you use a Stoily account to sell on a marketplace that a Stoily customer runs on its store. That customer is the "Operator" of the marketplace. If you accept these terms on behalf of a business, you confirm that you are authorized to bind it, and "you" means that business.

1. What Stoily provides

Stoily provides the account and the software you use to manage your listings, offers, orders and earnings on each marketplace you join. Stoily is not a marketplace operator. We do not buy or sell your products, we do not set your commission, and we do not hold, pay or transfer your money.

2. Each marketplace is its own agreement

You join a marketplace by accepting an invitation from its Operator. For each marketplace, the Seller Agreement you accept for that store is an agreement between you and that Operator. It governs your listings, commission, payouts, returns, refunds, chargebacks and any dispute about them. Stoily is not a party to it. Payouts are made by the Operator through its own payment processor account, not by Stoily.

One account can sell on several marketplaces. Each Operator sees the information for its own store only.

3. Your account

You must provide accurate information and keep it current. You are responsible for keeping your password secure and for everything done through your account. If you suspect that someone else has accessed your account, change your password and tell us at contact@stoily.com.

You must be at least 18 years old, or the age of majority where you live if that is higher, to hold an account.

4. Acceptable use

Your use of the account is subject to the Acceptable Use Policy. You may not use the account to reach data or stores you were not invited to.

5. Your data

The Privacy Policy explains what we process for a seller account and what each Operator receives. You keep the rights you have in the content you provide, and you grant us the rights we need to host and display it for the marketplaces you sell on.

6. Suspension and termination

You may stop using your account at any time. We may suspend or close an account that breaches these terms or the Acceptable Use Policy, or where the law requires it. An Operator may end your access to its own marketplace under its Seller Agreement; that does not close your Stoily account or affect other marketplaces you sell on. Ending your account does not end what you and an Operator still owe each other under a Seller Agreement.

7. Disclaimer and limitation of liability

THE ACCOUNT AND THE SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND TO THE EXTENT PERMITTED BY LAW. STOILY IS NOT RESPONSIBLE FOR ANY OPERATOR'S ACTS OR OMISSIONS, INCLUDING WHETHER OR WHEN AN OPERATOR PAYS YOU. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOILY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE ACCOUNT.

8. Changes

Each published version of these terms has a version number and an effective date, shown at the top of this page. When we publish a new version, we will ask you to accept it the next time you sign in.

9. Governing law and venue

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these terms, and you and StoreOnCloud LLC each consent to the personal jurisdiction of those courts.
