Seller Agreement
We may revise this document with notice. Revisions are published on this page, and every substantive revision gets a new version number and effective date.
This Seller Agreement is between the Operator, which is the store named on the screen where you accepted this agreement, and you, the seller. If you accept it on behalf of a business, you confirm that you are authorized to bind it, and "you" means that business. You accept it separately for each store you sell on, and each acceptance is a separate agreement with that store's Operator.
StoreOnCloud LLC ("Stoily") provides the software the marketplace runs on. Stoily is not a party to this agreement, never holds your money, and is not responsible for the Operator's obligations under it. Your use of your Stoily account is governed separately by the Stoily Account Terms.
1. Listing and selling
The Operator runs the storefront, lists your products, sells them to its customers and collects payment for them. The Operator may approve, edit, decline or remove your listings and offers. You are responsible for the products, prices, stock and other information you provide.
2. Commission and reserves
The Operator sets the commission it keeps from each of your sales and any reserve or holding period before your earnings become payable. The commission and reserve that apply to you are shown in your seller account for the Operator's store. The Operator may change them for future sales with notice to you.
3. Payouts
The Operator pays you from its own payment processor account (for example, the Operator's Stripe account) to the payout account you connect with that processor, on the schedule the Operator sets. Payouts are made by the Operator, not by Stoily. To receive payouts, you must complete the processor's onboarding and keep your payout account in good standing.
4. Returns, refunds and chargebacks
Returns and refunds on orders for your products follow the Operator's policy. If an order for your product is refunded or charged back, the Operator may recover the amount, as its policy states, from your unpaid earnings or from future payouts.
5. Commission invoices
Where the Operator's store issues them, you authorize the Operator to raise self-billed invoices on your behalf for the commission under this agreement, and you agree not to issue your own invoices for the same amounts. Tell the Operator promptly if your business or tax registration details change.
6. Your obligations
- You sell only goods and services that are lawful where they are sold and delivered.
- Your listings are accurate and not misleading, and you have the rights to the content you provide.
- You fulfill orders for your products as you and the Operator have agreed.
- You comply with the Acceptable Use Policy and the laws that apply to your business.
- You are responsible for the taxes on your own income, and you give the Operator the identity and tax information it needs to verify you and meet its own reporting obligations.
7. Your data
The Operator receives the information you provide for its store and uses it under its own privacy policy. How Stoily processes your information is described in the Privacy Policy.
8. Disputes
Any dispute about this agreement, your sales, your commission or your payouts is between you and the Operator. You and the Operator will first try to resolve it directly. Unless you and the Operator agree otherwise in writing, this agreement is governed by the laws of the place where the Operator is established.
9. Ending this agreement
Either you or the Operator may end this agreement with notice to the other. The Operator may suspend your listings at any time if you breach this agreement. Amounts owed for sales completed before the end remain payable, subject to refunds, chargebacks and reserves under sections 2 to 4.
10. Changes
Each published version of this template has a version number and an effective date, shown at the top of this page. When a new version is published, you will be asked to accept it for each store you sell on.
